Reading Your Own Rating Rationale

When a rating is assigned, the agency publishes a rationale. Most companies read it once, file it, and move on. That is a wasted opportunity. The rationale is the clearest map you will ever get to how the agency sees your business, and to what would shift that view at the next review.

Read it for what it emphasises

The factors the rationale spends the most words on are the ones carrying the most weight in your rating. If half the document is about working capital intensity, that is your rating’s centre of gravity, for better or worse. Note those factors. They are where the next upgrade or downgrade will be decided.

Read the qualifiers carefully

Agencies hedge. Words like “tempered by,” “partly offset by,” and “constrained by” are doing real work. Each one points at a concern that pulled your rating down, or a strength that kept it from falling further. These are the threads to pull on, because they tell you exactly what to evidence or strengthen before the next review.

Separate the cyclical from the structural

Some concerns in a rationale are cyclical. A sector downturn, a year-end position, a temporary spike in leverage, these will ease on their own. Others are structural, thin disclosures, fragmented group structure, governance gaps, and these will not improve without deliberate work.

The rationale rarely tells you which is which. That distinction is yours to make, and it is the most important one for planning your next twelve months.

Use it as a checklist

Treat the rationale as the agenda for the next review. For each concern it raises, decide: will this resolve on its own, or do we need to act? For each strength it credits, decide: is this still true, and is it still visible? The answers become your preparation plan.

A rating rationale read once is a verdict. Read carefully, it is a playbook for the next one.
